| | | | | 浅论公司被吊销营业执照后民事责任的承担 | | | 周珊 | | | 我国公司法对公司登记被吊销营业执照等行政处罚规定内容较多,但对公司被撤销或吊销营业执照后其民事责任的承担方式,股东和债权人民事权益实现方式和途径规定极为简单。为使法院在审理类似公司纠纷案件中有法可依,建议修改公司法对清算组成立方式的规定,公司被强制清算可由债权人或股东向法院提起民事诉讼而开始;可通过司法权力的介入,强制清算程序的启动。
