| | | | | 论律师对第三人的民事责任——以证券虚假陈述为视角 | | | 彭真明;陆剑 | | | 证券律师的专业人士职责性及其社会责任的存在,是其对第三人承担民事责任的根据。律师对第三人民事责任属于一种特殊的侵权责任——法律专业人士责任。在归责原则上,采用一般过错推定原则。在因果关系认定的层面,宜借鉴美国的做法,引入事实因果关系与法律因果关系的双层结构;在律师过错的认定上,应将"勤勉尽职义务"视为一种"合理的注意义务";在责任的承担主体上,律师事务所和律师(直接负责人)应对第三人的损失承担连带赔偿责任。
