| | | | | 不竞争契约之形式及合理性探析 | | | 关璐 | | | 在当今社会,企业(enterprises)之间的竞争已不仅仅局限于初级的产品获得竞争、价格竞争、质量竞争,更发展到了品牌与规模竞争。而且在国际竞争中,如何扩大企业规模、集中企业力量、防止优势企业垄断就成了一个值得深思的问题。不竞争契约(noncompetitioncontract)正是在这种情况下产生和发展起来的新型竞争模式。对不竞争契约表现形式(formsofexpression)及合理性(rationalism)进行探讨,并希望我国尽快出台关于不竞争契约的立法,以此防止垄断、促进企业之间有效竞争(effectivecompetition)、增强弱势企业的国际竞争力。

Furthermore, during the international competitions, how to enlarge the scales of enterprises? How to concentrate powers of enterprises to develop new technology? How to prevent being monopolized by superior enterprises? These problems need to be pondered over carefully. To deal with these problems, noncompetition contracts emerged as the times require. So, after all, what is noncompetition contract? This paper tries to analyze its form of expression and rationalism, and also proposes that the legislature would enact acts to standardize this form of competition, in order to prevent monopoly, promote effective competitions and increase affect of native enterprises in international market.
