| | | | | 集团化与公司制的关系 | | | 黄淑敏 | | | 企业实现集团化经营与进行公司制改造是从不同角度提出的目标，一些国有大中型企业向建立现代企业制度方向改革的过程中，同时面临着这两大方面的问题。论述了企业实现集团化经营与进行公司制改造的关系，同时阐明了组建集团公司是实现集团化经营的前提．且集团公司作为企业．其最终目标模式应当实现公司制。因此在组建集团公司时，要按照公司制的要求进行规范和设置。结合现行国有大中型企业改革的实际，尤其在涉及多个企业合并组建集团公司的复杂情况下提出，为实现集团化经营和公司制改造的双重目标，可以采取渐进式的改革途径和方法。

Some state-owned large-and medium-sizcd firms are facing two proplems in setting up modern firm system- The article discusses the relation between the firms realizing group management and the reform of corporation system.It also points out that setting up group firm is the premise to the ralization of group management.The group firm, as a firm, has to realize corporation system as its final ohjective.The establishment of a group firm should be achieved according to the set-up and standard of the corporation. Following the reform practice of state-owned large-and medium-sized firms,the realization of the two objectives of group managcment and reform of corporation system,the gradual approach is proposed. This is especially beneficial to the merging into a group firtn from a number of enterprises.
